1. Introduction
These Terms & Conditions ("Terms") govern access to and use of the OverhaulOS platform, websites and mobile applications (together, the "Service"), operated by OverhaulOS ("we", "us"), a company registered in the Republic of Namibia. By registering for or using the Service you agree to these Terms. If you use the Service on behalf of a company, you confirm you are authorised to bind that company.
2. Accounts & Eligibility
To use OverhaulOS you must register an account and provide accurate, current information, and keep it updated. Transport companies, mechanics and drivers each have distinct account types and responsibilities. You are responsible for keeping your login credentials secure and for all activity under your account. You must notify us promptly of any suspected unauthorised use.
- Company Ambassadors may create Controller and Accounts sub-accounts and are responsible for their staff's use of the Service.
- Mechanics must be at least 18, legally entitled to work in their country of operation, and complete identity and competence verification before receiving jobs.
- Drivers are added to a fleet by their transport company, which remains responsible for their access.
3. Using the Platform
OverhaulOS connects drivers who report breakdowns with independent, verified mechanics, and provides dispatch, tracking, communication and settlement tools around that connection. We are a technology platform and payment intermediary: the physical repair, towing and recovery services are performed by independent mechanics, who are not our employees or agents. Verification of mechanics is performed with reasonable care but does not constitute a guarantee of any particular outcome.
4. Acceptable Use & Safety
You agree not to misuse the Service. In particular you must not:
- submit false breakdown reports, false SOS alerts, or fraudulent invoices;
- use the Service to arrange work outside the platform to avoid fees ("off-platform circumvention");
- interfere with, reverse engineer, or attempt to gain unauthorised access to the Service or other users' data;
- harass, threaten or discriminate against other users; or
- use the Service in violation of road-safety, transport or other applicable laws.
The SOS feature is for genuine safety emergencies. Deliberate misuse may result in immediate suspension and, where appropriate, referral to authorities.
5. Payments & Fees
OverhaulOS operates a prepaid credit model. Transport companies load credit in advance by EFT bank transfer; when a job is accepted the mechanic's estimate is reserved against the company's available balance, and on completion the actual invoice draws the balance down. If the available balance cannot cover a job, new jobs are blocked until the company tops up. A platform fee (currently 5% of the full invoice value, subject to change on notice) is deducted from the mechanic's credit on each completed job. Mechanics are paid from their wallet ledger by EFT; credited amounts become withdrawable once the dispute window has passed. Invoice disputes must be raised within 30 days; disputed invoices are frozen pending resolution.
6. Company Agreement
Transport companies agree to maintain sufficient prepaid credit for the recovery needs of their fleet, and are responsible for the accuracy of their fleet, driver and billing information and for the conduct of their drivers and staff on the platform. Companies acknowledge that job pricing follows fixed per-country price lists and verified mechanic rate cards (within platform caps), that cancellations after a mechanic is en route attract a call-out fee, and that a stranded-truck override on an insufficient balance may be granted only once, by a branch manager, with a logged reason.
7. Mechanic Agreement
Mechanics agree to provide services professionally, safely and in line with their declared specialties; to honour accepted jobs or promptly release them; to comply with site-safety rules; and to invoice accurately through the platform. In return, OverhaulOS guarantees payment for completed and verified jobs, less the platform fee. Mechanics are independent contractors: nothing in these Terms creates an employment, agency or partnership relationship, and mechanics are responsible for their own taxes, insurance, tools and regulatory compliance.
8. Driver Agreement
Drivers agree to use the app responsibly, to report breakdowns and emergencies accurately, and to reserve the Silent SOS for genuine safety situations. Location data is collected during active jobs, SOS events and periodic welfare checks to enable dispatch, tracking and driver safety, as described in our Privacy Policy. Drivers must not operate a mobile device in a manner that violates road-safety laws.
9. Intellectual Property
The Service, including software, design, logos, and content, is owned by or licensed to OverhaulOS and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable licence to use the apps and portals for their intended purpose while your account is active. You may not copy, modify, distribute, sell or lease any part of the Service. Feedback you provide may be used to improve the Service without obligation to you.
10. Liability & Indemnity
OverhaulOS facilitates connections between parties and provides the platform "as is" and "as available". To the maximum extent permitted by law: (a) we are not liable for the acts or omissions of independent mechanics, drivers or companies; (b) we are not liable for delays or failures caused by factors beyond our reasonable control, including network coverage, weather, road conditions or border procedures; and (c) we are not liable for indirect or consequential loss, including loss of profit, cargo or contracts. Where liability cannot be excluded, our aggregate liability is limited to the platform fees paid by you in the three months preceding the event. You indemnify us against claims arising from your breach of these Terms or your unlawful conduct. Nothing in these Terms limits liability that cannot be limited by law.
11. Suspension & Termination
You may close your account at any time; accrued payment obligations survive. We may suspend or terminate accounts for material breach of these Terms, fraud, safety risk, non-payment, or where required by law — with notice where practicable. On termination, provisions relating to payments, intellectual property, liability and disputes survive.
12. Governing Law & Disputes
These Terms are governed by the laws of the Republic of Namibia. The parties will first attempt to resolve disputes amicably through the OverhaulOS support process. Failing resolution within 30 days, disputes shall be submitted to the competent courts of Windhoek, Namibia, unless mandatory consumer law in your country of residence provides otherwise. For users contracting with a local OverhaulOS entity in another operating country, that country's mandatory provisions apply to the extent required.
13. Changes & Contact
We may update these Terms from time to time. Material changes will be notified through the platform at least 14 days before taking effect; continued use after that date constitutes acceptance. Questions about these Terms can be sent via our contact page. See also our Privacy Policy.
